How to set up a Limited Liability company (d.o.o.) in Montenegro


The most common forms of economic activity are entrepreneurs and limited liability companies. (ltd)

Limited liability company (doo) incorporation procedure

The procedure for setting up a limited liability company (d.o.o.) is established by the Law on Business Companies (“Official Gazette of the Republic of Montenegro, No. 6/2002 and Official Gazette of Montenegro, No. 17/2007, 80/2008 and 36/2011 and 40/11).

Step 1. Registration of business assets

On the day of registration, the company acquires the status of a legal entity, in the Central Register of Enterprises of the Tax Office, the address of which is recorded as follows:

At the time of registration of a business in the Central Commercial Register, it is mandatory to add the following:

1. The Company’s Articles of Association have been issued and you can access the form from the link below:

2. Certificate of organization approved by the competent authority, namely:

-The decision of the establishment of the company (If the company is established by a single founder (limited liability company with a single partner), it can be accessed from the link).

3. Proof of payment in the amount of €10.00 to the account of the Tax Office, turnover account number: 832-3161017-60, purpose: doo registration

4. Proof of payment in the amount of €12.00 to the account of the Official Gazette of Montenegro, endorsement account number: 550-5716-07, for the purpose of registration of a limited liability company.

5. Statement from the Central Depository Agency. When receiving the declaration, a copy of the founder’s identity card or a copy of the passport if the founder is a foreigner, and the payment receipt in the amount of €6.05 paid to the turnover account CDA: 510-8092-14 must be attached, purpose of payment: declaration fee.

6. A copy of the identity document if the founder is a Montenegrin citizen or a copy of the passport if he is a foreign national.

Note: When registering in the Central Business Register, it is allowed to automatically register enterprises in the register of the Bureau of Statistics, the register of taxpayers and the register of customs payers, as well as in the register of value-added taxpayers and excise taxpayers, if desired (one-stop business system) – if the company wants to import and export products, it is necessary to mark column 15.4 on the back page when filling out the PS-01 form. In order for the company to be registered with the Customs Administration at the same time, a customs number must be obtained.

– If the company wants to apply for VAT payer registration, it is mandatory to mark column 15.2 on the back page when filling out form PS-01. Register VAT payers and fill out the PR PDV-1 form, which can be accessed at the following link:

– If the company wishes to apply for registration in the register of excise taxpayers, it must mark column 15.3 on the back page when filling out the PS-01 form. and fill out the AKC P EXCISE Taxpayer Registration form available at the link below:

When you submit your documents, you will receive a confirmation of the decision number to which the registration certificate will be issued along with your identity document within one week from the date of application.

You can also  check whether your registration process has been completed on the www.crps.me website with your confirmation number.

The company was registered by obtaining the said document.

Requests for the registration of businesses can also be submitted through the www.euprava.me portal. The execution of this service is only available to users who create a user account. Since this service does not require a signature with a digital certificate, certified copies or originals of the documents required for registration must be submitted.

Step 2. Activities after registration with CRPS

After obtaining the company registration certificate, the following actions must be taken:

-Making seals and stamps (Care should be taken to ensure that the appearance of the seal complies with the description in the Regulation) The seal is usually round in shape and the company name, company form and location of the company are written on it. The headquarters building is usually square in shape and has a label indicating the company name as well as the business number and date, and is used to record documents in the company archive. Seals and stamps are made by companies specially established for this business. The stamp making time is usually one day.

-Opening an account in the bank. In order to open an account with the bank, you need to bring the following:

The certification process is carried out by a notary public. The notary fee for signature attestation is €2.50 + VAT (21%) per signature on a copy of the document.

3. Bylaws or incorporation resolution

4. PIB. (Assigned by Decree on completed tax registration)

5 VAT number (assigned by the Decree on VAT registration if the company is registered with VAT)

6. Identity document or passport of the person(s) authorized to represent

7. Cardboard with deposited signatures and access forms (available from the bank)

8. Company seal.

– Registration of the employee with the tax office:The employer is obliged to submit the following documents to the tax office when registering the employee:

1. Employment contract between employer and employee

2. Copy of the employee’s identity card

3. Completed JPR form, which you can access via the link below:

4. Photocopy of the employee’s work report (first page and page with professional qualification).

Note – The registration of the employee with the tax office also means the registration of the employee in the PIO fund and the Health fund. The health card is purchased and brought to the local health fund office for approval.

Summary of the costs of setting up a company:

Payment to the Tax Office – 10.00 euros; Payment on Official List letterhead – 12.00 euros; Attestation of the incorporation decree (court or notary) – (4.50-7.60 euros);
Statement from the CDA – €6.05 for a single-partner company; (Passport approval is required if the director is a foreigner – 3.03 euros); Stamp making – 20-30-35.00 euros, per piece; Attestation of the OP form (at the opening of a bank account) costs 3.03 euros per signature.
